clubs through its Board of Directors.&nbsp; The Board of Directors protects the future of the breed, the registry, ASCA and preserves the ASCA Australian Shepherd as defined in the current Breed Standard.<\/p>\n<p>Director Information: A newly elected Director should take the time to learn about his\/her role as a member of the Board of Directors.&nbsp; This includes, but is not limited to, learning about the inner workings of ASCA, the expectations of Board service, other members of the BOD and the ASCA committees, legal requirements as a member of the Board and his\/her fiduciary duty to ASCA.<\/p>\n<p>General Expectations of a Director: A Director must be familiar with ASCA\u2019s vision, purpose, goals, policies, programs, services, strengths and needs.&nbsp; A Director is held to a high standard of honesty and full disclosure. A Director must perform his\/her duties responsibly and competently.<\/p>\n<p>A Director holds a fiduciary duty to ASCA and its members.&nbsp; As such, a Director is under a legal duty to act solely in ASCA\u2019s and its members\u2019 interests. A Director is legally forbidden from acting in a manner adverse or contrary to the interests of the membership or ASCA and may not act for his\/her own benefit.<\/p>\n<p>A Director should serve in a leadership position, such as liaison to a standing committee and\/or special committee.&nbsp; A Director should undertake special assignments willingly and enthusiastically.<\/p>\n<p>A Director should avoid prejudiced judgments on the basis of information received from individuals.&nbsp; A Director should urge members to follow policies and procedures found in the program rulebooks and within ASCA documents. A director should urge members with grievances to follow established policies and procedures.<\/p>\n<p>A Director should listen to and engage the membership to determine trends in members\u2019 concerns and interests.<\/p>\n<p>A Director should bring good will and humor to the Board\u2019s deliberations.<\/p>\n<p>Responsibilities and Duties of an Individual Director:<\/p>\n<ol>\n<li>Directors must commit themselves to ASCA.<\/li>\n<li>A Director has obligations as a member of the Board collectively and as an individual as part of their Board membership. The obligations of a Director are considerable and extend well beyond the basic obligations of attending meetings and voting.<\/li>\n<li>Individual members of the Board of Directors are expected to meet higher standards of personal conduct on behalf of ASCA than those usually expected of other volunteers.<\/li>\n<li>A Director does not have special privileges, prerogative or authority. An individual Director\u2019s obligation is as a fiduciary to make decisions to benefit ASCA and its members.<\/li>\n<\/ol>\n<p>Timeline for Candidates:<\/p>\n<p>Any person interested in becoming a member of the ASCA Board of Directors must comply with the following procedure:<\/p>\n<ol>\n<li style=\"list-style-type: none;\">\n<ol>\n<li>February 15 \u2013 Deadline to electronically submit a candidate&#8217;s completed Candidate Packet to the Business Office for publication in the Quarter 2 Aussie Times. The Candidate Packet includes the Declaration of Candidacy, a single page resume, and the Candidate Inquiry. Failure to submit a completed packet electronically will result in prospective candidate&#8217;s disqualification for that election year.<\/li>\n<li>June 15 \u2013 All ballots will be sent to members. If the 15th falls on a weekend, ballots will be sent on the preceding Friday. For purposes of determining voting eligibility, the membership books will close on June 1. Members not receiving notification of electronic voting or those who wish to request a paper ballot should contact the election company by June 20.<\/li>\n<li>&nbsp;July 15 \u2013 All completed ballots are due in the hands of the receiver (not postmarked) on or before July 15.<\/li>\n<li>July 20 \u2013 On or before this date, all Director Candidates to be notified of election results. Following candidate notification, results of the election will be posted to all official ASCA online channels and in the next Aussie Times following the election. Published results will list each candidate with the number of votes received. Official notice of voting results will be announced at the General Membership Meeting at the ASCA National Specialty.<\/li>\n<\/ol>\n<\/li>\n<\/ol>\n<p>This Election Calendar and the link to the Candidate Packet on the website will be published in the Q1 and Q4 issues of the AUSSIE TIMES.
